This Telecommunications and Number Provisioning Authorisation (“Authorisation”) applies to the Client’s use of the Vlok Service.
By signing an Order Form, creating an account, accepting this Authorisation electronically or using a telephone number provided through the Service, the Client authorises Vlok Ltd (“Vlok”, “we”, “us” or “our”) to carry out the activities described below.
This Authorisation forms part of the agreement between Vlok and the Client, including the Vlok Terms of Service, Fees and Billing Policy, Privacy Policy and Data Processing Agreement.
If there is a conflict between this Authorisation and the Terms of Service, the Terms of Service will apply unless this Authorisation expressly states otherwise in relation to telecommunications or number provisioning.
In this Authorisation:
Client means the restaurant, hospitality business or other business using the Service.
Client Number means a telephone number independently obtained or controlled by the Client and forwarded, redirected or connected to the Service.
Provider means Twilio or another telecommunications, messaging, verification or number-provisioning provider used by Vlok.
Service means the Vlok AI-powered telephone receptionist, booking, messaging and associated services.
System Number means a telephone number allocated, provisioned, configured or managed by Vlok or a Provider for use with the Service.
The Client authorises Vlok to:

Vlok does not guarantee that a requested number, area code or number type will be available.
Telecommunications Providers and regulatory authorities may require information or documents before approving a number, registration or telecommunications service.
The Client authorises Vlok to collect, use and submit relevant information to Providers and verification partners, including:
The Client confirms that it has authority to provide this information and authorises Vlok to share it for provisioning, verification, fraud-prevention and regulatory purposes.
The Client must ensure that all information and documents supplied are:
Vlok may rely on the information provided without independently verifying its accuracy, except where verification is required by a Provider or by law.
The Client must notify Vlok promptly if any information relevant to a System Number changes, including:
Vlok may suspend or restrict a System Number until updated information or documents are supplied and approved.
Providing false, misleading, expired or incomplete information may result in:
The Client is responsible for losses or disruption caused by inaccurate or incomplete information it supplies.
System Numbers are allocated or provisioned to Vlok or its Providers from telecommunications numbering resources.
A System Number is not sold to the Client.
The Client receives a limited, revocable and non-transferable contractual right to use the System Number solely:
A Client Number remains independently controlled by the Client or its telecommunications provider.
Nothing in this Authorisation transfers ownership or contractual control of a Client Number to Vlok.
The Client is responsible for:
Vlok is not responsible for charges imposed by the Client’s existing telecommunications provider.
Portability of a System Number is not guaranteed.
Portability may depend on:
Vlok does not currently offer a general number-porting or transfer service.
The Client must not assume that a System Number can be transferred to the Client or another provider when the Agreement ends.
Nothing in this Authorisation requires Vlok or a Provider to support, approve or complete a porting request.
The Client’s use of a System Number is subject to:
Vlok may take action reasonably required to comply with these requirements.
Vlok may update its Providers, technical arrangements and number-provisioning processes without the Client’s consent, provided that the core Service is not materially reduced.
The Client must not:
Vlok may restrict caller-identification functionality where necessary for legal, security, technical or Provider reasons.
The Client may use System Numbers only for legitimate communications connected with its restaurant, hospitality or other approved business operations.
Permitted use may include:
The Client must not use, permit or attempt to use a System Number:
Misuse may result in immediate restriction, suspension or termination.
System Numbers and the Service are not designed, authorised or guaranteed for contacting emergency services.
The Client must not use or present the Service as a means of:
The Client must maintain suitable independent arrangements for emergency communication.
The Client must promptly notify Vlok if it becomes aware of:
The Client must take reasonable steps to secure:
Vlok may immediately suspend affected numbers or functionality while investigating a suspected security or fraud issue.
The Client may be responsible for charges incurred through unauthorised use where the incident resulted from the Client’s systems, users, credentials or failure to take reasonable security precautions.
Charges associated with telecommunications and System Numbers are governed by the Order Form and Fees and Billing Policy.

The Client remains responsible for applicable charges incurred before suspension or termination.
The Client acknowledges that:
Vlok may replace, suspend or withdraw a System Number where reasonably necessary to:
Where reasonably practicable, Vlok will give the Client advance notice of a material number change.
Vlok may act immediately and without prior notice where required by:
Vlok may suspend a System Number or related telecommunications functionality where:
Suspension does not relieve the Client of Fees already incurred or recurring Fees that remain payable under the Agreement.
Approval, rejection, suspension, replacement and withdrawal of System Numbers may be affected by Providers, regulators and circumstances outside Vlok’s reasonable control.
Subject to the Terms of Service, Vlok is not liable for loss or interruption caused by:
This section does not exclude liability caused by Vlok’s fraud, fraudulent misrepresentation or another matter that cannot lawfully be excluded.
All liability under this Authorisation is subject to the exclusions and aggregate 12-month liability cap in the Vlok Terms of Service.
Temporary or permanent loss of a System Number does not automatically entitle the Client to compensation or a refund.
Where Vlok is unable to provide a material paid feature for reasons within Vlok’s reasonable control, any refund or credit will be determined under the Terms of Service and Fees and Billing Policy.
This Authorisation begins when the Client accepts it or first uses a System Number and continues while the Agreement remains active.
Termination of the Client’s account or Agreement immediately:
The Client must immediately upon termination:
Vlok is not required to keep a System Number active after termination.
Calls or messages directed to a terminated System Number may fail, be rejected or later reach another user if the number is reassigned.
The Client is responsible for informing its customers and updating public information following termination.
Vlok may process and share personal data and business-verification information for:
Processing is governed by the Vlok Privacy Policy and, where applicable, the Data Processing Agreement.
The Client authorises Vlok to disclose relevant information and documents to Providers, verification partners, regulators and authorities where reasonably necessary.
Vlok may update this Authorisation to reflect:
Material changes will be notified in accordance with the Terms of Service.
Where a material change substantially disadvantages the Client, the Client may exercise any early-cancellation right available under the Terms of Service.
The provisions of the Terms of Service concerning:
apply to this Authorisation.
This Authorisation and any non-contractual obligations arising out of or in connection with it are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Authorisation.
